How do I uninstall Windows XP PRO which is not listed in control panel?

Problem? My WindowsXP PRO is not listed in control panel. (System came with new computer).

I want to uninstall,& replace it with Windows 8.1 pro (disk).

Is this done in safe mode? Also how is a clean uninstall accomplished?

MS Assistant says an upgrade is not possible (since "23 programs,etc. need attention").
