Yes, but it seems to me that it is time to buy a new computer with Vista.
 
Yes, all you need is a Windows XP upgrade CD.
However a clean install is preferred as long as you the original ME CD.

Clean Install:

Before you do the 'Clean Install' download and install the following
utility:
Belarc Advisor: http://www.belarc.com/free_download.html
(It will run on your Windows ME computer)
It does a good job of providing a wealth of information, including installed
software and hardware configuration which you will need to verify that
you have or should downloaded all the Windows XP drivers you need.
Go to the manufacturer's web site and download all the drivers
(Video, Sound, Network, Etc.).

Locate all the CDs and key codes for the applications on your ME PC that you
wish to use with XP.

Now if you choose to do that clean install of Windows XP, here's how!!!
First backup any important data file to another drive or CD/DVD.
Next change the BIOS setting to Boot from CD drive first.
Then see below:

Is it doable? Yes. Is MS Windows Millenium Edition a qualifier for an
upgrade for XP upgrade installation CD? Yes.

Is it practical to do an upgrade? No.
Will it work with your specific hardware? Unknown.
Will XP work with all your 3rd party software? Unknown.
Will the upgrade break anything? Unknown

Theoretically, yes.

Before starting, however, have you verified that all of your PC's
hardware components are capable of supporting WinXP? This information
will be found at the PC's manufacturer's web site, and on Microsoft's
Windows Catalog: (http://www.microsoft.com/whdc/hcl/default.mspx)

You should also take a few minutes to ensure that there are
WinXP-specific device drivers available for all of the machine's
internal components. There may not be, if the PC was specifically
designed for Win98/Me. Also bear in mind that PCs designed for, sold
and run fine with Win9x/Me very often do not meet WinXP's much more
stringent hardware quality requirements. This is particularly true of
many early models in Compaq's consumer-class Presario product line or
HP's consumer-class Pavilion product line. WinXP, like WinNT and Win2K
before it, is quite sensitive to borderline defective or substandard
hardware (particularly motherboards, RAM and hard drives) that will

Three points:

1. Yes, Me qualifies for an upgrade to XP

2. If you do this, beware of those who tell you to do a clean
installation instead of an upgrade. Although many people will tell you
that formatting and installing cleanly is the best way to go, I
disagree. Unlike with previous versions of Windows, an upgrade to XP
replaces almost everything, and usually works very well.

My recommendation is to at least try the upgrade, since it's much
easier than a clean installation. You can always change your mind and
reinstall cleanly if problems develop.

However, don't assume that doing an upgrade relieves you of the need
to backup your data, etc. before beginning. Before starting to
upgrade, it's always prudent to recognize that things like a sudden
power loss can occur in the middle of it and cause the loss of
everything. For that reason you should make sure you have backups and
anything else you need to reinstall if the worst happens.

3. Perhaps most important, be aware that Windows XP requires more
powerful hardware than Windows Me. Your Windows Me computer is old
enough that its hardware configuration is probably inadequate to run
XP with what you would consider acceptable performance. In particular,
you should be sure to have a minimum of 256MB of RAM, and, depending
on what apps you run, even that isn't enough for many people.

Post back with the details of your hardware configuration. Although
hardware can be upgraded, if there are several things that need
replacing, it's often less expensive to buy a whole new computer.

I agree. I used my XP upgrade disk to upgrade WinME and it went
flawlessly. XP has been cruising along smoothly ever since.

If you only had ME installed, I would agree with Ken. That in itself is
HIGHLY unlikely. Maybe Ken sees in his crystal ball what you have for 3rd
party applications and some particular hardware all workable with XP.
Therefore, I would be highly suspect of anyone that says to use a XP upgrade
vs. an XP clean install in your specific unknown situation. Backup your
current ME installation to CD as an image. Then try the XP upgrade. If not
satisfied, XP upgrade will do a clean install with a ME install
(retail/generic OEM) CD to examine for eligibility. You will have to
install all your 3rd party software again. You will be spanked if the
upgrade don't work to your satisfaction. Not Ken, or any other person
supporting that position.
