rundll32.exe - cannot shutdow or restart.

I have to post this again.

Hi,
Every time I try to shutdown or restart I receive dialog box trying to end
rundll32.exe. Cannot shutdown or restart. I check the processes in task
manager and there are 2 rundll32.exe's running. This has been happening prior
to install Service pack3.
Toshiba A200
WinXP Pro Service Pack 3
CA Security Centre

I ran the cleaners and still had the same issue, rundll32.exe will not let me
shutdown or restart.
I contacted Toshiba Tech Support they told me it's a Microsoft Windows
problem and to uninstall any software I had loaded one by one, if that failed
I should reinstall Windows.
I had only loaded two, Nokia PC Software, and CA Antivirus Plus 2008. I
uninstalled one by one and still rundll32.exe stop shutdown.
So, I reinstalled Windows off recovery disc not once but twice and still
have rundll32.exe problem.
This morning I decided to keep task manager open and monitor in alphabetical
order when this rundll32.exe would start it's process.
Well, it started when I used the Shortcut to Internet Options of the quick
launch bar to delete cookies, temporary internet files, history etc. Three
(3) rundll32.exe's started. Then a further two (2) rundll32.exe's started
when I used Disc Cleanup (I always use these features after using the
internet).
I now have five (5) rundll32.exe's running and they will not stop.
This time the start menu, the quick launch toolbar and the toolbar froze for
approx 2 minutes.
Any ideas Microsoft?

I did, twice and did not load any software.
Immediately I tested the delete files in internet options, general tab,
browsing history. rundll32.exe kept duplicating itself but not ending when
finished.
