"Modem Failure" indicates that the modem, a piece of hardware, has failed.
Possibly, if it's a soft modem, its drivers are not installed or are
corrupt.

These aren't problems with XP, but with the modem and/or its software, or
possibly if it's an external modem, with the cabling.

Unfortunately there is no information in your post as to what the modem is
or when you get the message or the exact text of the error message, so
anything further is a guess.

Try removing and reinstalling the modem, using the correct drivers, via
Device Manager.

without *what* password?

Are you saying that you do not have access to an Administrator account?

Then you are in a situation where you cannot safely proceed.

I don't say this in a derogator way, but if you don't know what you are
doing, and cannot describe the situation, and don't have system access, you
should locate a local professional who can look at the system for you.
