I got a new WD 320 GB IDE ATA hdd, but plugging it in as second drive (drive
"1") it shows up in Disk Management as "Unallocated" with size = 128 GB.

Help! Should I f-disk or format it? And why does the "WELCOME TO THE WRITE
SIGNATURE AND UPGRADE WIZARD" screen pop up wanting me to create a 'dynamic
disk'?

I'd sure like to get it installed as a 320Gb disk if that is possible. Or as
partitions that total that size if I must.

Any suggestions will be greatly appreciated.

You have to enable large disk support (48-bit LBA):
http://support.microsoft.com/default.aspx?scid=kben-us305098

Do not make this a dynamic disk - you'd regret it.

I added the new key/value, rebooted and no improvement. I checked and I do
have ALL W2k critical updates thru SP4. Help! What's next?

Bob

During POST check that the onboard disk controller (system BIOS) correctly
recognizes the disk size.

Apart from the key, your bios has to support large disks also.
Check how the disk is identified in the bios
