If I'm not using window xp can install it on someone else computer

I have a windows XP (upgrade) version disc, I'm wanting to get rid of. But my question is I'm know longer using it any more and went to window7 can give it to someone to upgrade there computer. Has it been deactivated sence I'm not using more.
