Windows 2003 2003 Server Running Very Slowly...

I am a Cisco networking guy. I know little about 2003 server, but...
My task is to return health to a 2003 Server (probably 32 bit) that is running VERY slowly. I only had a little time to inspect it so far. It contains 3G of ram, and a SCSI hard drive, and is basically a dinosaur. The server runs some basic features-- at least including file sharing, printer sharing, DHCP, Directory services. Applications include at least MYSQL, Quickbooks, Goldmine.
I noticed MYSQL is far and away the leading ram user at 1.2 G.
I preformed disk-cleanup, then before I left I put in motion disk-defragmenter to the badly fragmented drive.
Though my client has little money, I can convince her to upgrade her hardware and software. She only has 5 workstations connected to the server, so I am not yet convinced she needs an upgrade from her dinosaur. Should I advise her to upgrade her hardware, her software?

Lets take a look at mysql. Misconfigured mysql will slow a box to a crawl.

Post the content of my.ini and we can tune it. That alone should help.
